BUCHAREST (Romania), Dec 21, 2009 -- (InPR) -- A&D Pharma Holdings N.V. (the "Group", the "Company", or "A&D Pharma"), the Dutch holding company that owns the largest integrated pharmaceutical wholesale, marketing and sales, and retail business in Romania today announces that, further to its announcement of 28 September 2009, the Group has now signed an agreement to acquire Arishop Pharma AD and its subsidiary in Bulgaria, Ozone Laboratories Polska and Ozone Laboratories Polska Services in Poland, Ozone Laboratories Magyarorszag Kft. in Hungary, Ozone Laboratories Slovakia s.r.o. in Slovakia and Ozone Laboratories Czech Republic s.r.o. in the Czech Republic. All the target companies are related parties with A&D Pharma (the ultimate controlling shareholders of A&D Pharma are also the ultimate controlling shareholders of the target companies). The acquisition was agreed for a total consideration of Euro 23,150,000 (Euro twenty threemillion one hundred and fifty thousand). Out of the total consideration for the acquisition, Euro 12,750,000 (Euro twelve million seven hundred and fifty thousand) represents the consideration allocated for the acquisition of Arishop Pharma AD in Bulgaria; Euro 4,000,000 (Euro four million) is conditional upon the acquisition by A&D Pharma of an additional company located in one of the target markets; Euro 6,000,000 (Euro six million) represents the consideration for Ozone Laboratories Polska; the remaining balance of Euro 400,000 (Euro four hundred thousand) represents the consideration for the other target companies which are Ozone Laboratories Polska Services, Ozone Laboratories Magyarorszag Kft., Ozone Laboratories Slovakia s.r.o. and Ozone Laboratories Czech Republic s.r.o.(i.e. Euro 100,000 per company).
